These Terms of Service govern your use of Cinetal, including the public website and the Cinetal web application used for film financing, submissions, and project workflow management.

1. Acceptance of Terms
These Terms of Service govern your access to and use of the Cinetal website, web application, and related services. By accessing or using Cinetal, you agree to be bound by these Terms. If you do not agree, do not use the service.
If you use Cinetal on behalf of a company, production entity, or other organization, you represent that you have authority to bind that organization to these Terms.
2. Service Description
Cinetal is a software platform for film producers and production teams to manage projects, financing workflows, submissions, strategic planning, and related professional information.
We may update, improve, suspend, or discontinue parts of the service from time to time. We do not guarantee that every feature will remain available indefinitely.
3. Eligibility and Accounts
You must provide accurate account information and keep it reasonably current. You are responsible for maintaining the confidentiality of your login credentials and for activity that occurs under your account.
You may not share access in a way that circumvents plan limits, use another person’s account without permission, or attempt to gain unauthorized access to Cinetal systems or data.
4. Acceptable Use
You agree to use Cinetal only for lawful business or professional purposes related to film, media, or adjacent production workflows. You may not use the service to violate laws, infringe intellectual property rights, interfere with the service, transmit malicious code, scrape protected data, or exploit the platform in a way that harms Cinetal or other users.
We may investigate misuse and suspend or terminate access where necessary to protect the service, our users, or third parties.
5. User Content and Data
You retain ownership of the project information, documents, uploads, notes, and other content you submit to Cinetal. You grant Cinetal a limited, non-exclusive right to host, store, process, reproduce, and transmit that content solely as needed to operate, secure, and improve the service for you.
You are responsible for ensuring that you have the rights and permissions necessary to upload or share any content you place in the service.
6. Intellectual Property
Cinetal and its related software, design, branding, workflows, databases, and platform content are owned by Cinetal or its licensors and are protected by applicable intellectual property laws.
Except for the limited right to use the service under these Terms, no rights are granted to you. You may not copy, modify, reverse engineer, resell, or create derivative works from the service except as permitted by law or with our written permission.
7. Third-Party Services
Cinetal may rely on or integrate with third-party providers such as Google for authentication, cloud infrastructure, analytics, storage, and monitoring. Your use of those third-party services may also be subject to their own terms and privacy policies.
We are not responsible for third-party services, content, outages, or policy changes beyond our reasonable control.
8. Fees and Plan Changes
Some parts of Cinetal may be offered under free, trial, beta, or paid plans. If you subscribe to a paid plan, you agree to pay applicable fees and taxes as presented at the time of purchase, subject to any separate order form or pricing terms.
We may change pricing, packaging, or plan features in the future. Material changes to paid plans will apply prospectively and, where appropriate, after advance notice.
9. Beta Features
Cinetal may offer beta, preview, or early-access features. These features may be incomplete, change materially, or be discontinued without notice. Beta features are provided on an as-is basis and may be subject to additional limits.
10. Termination
You may stop using Cinetal at any time. We may suspend or terminate your access if you violate these Terms, create legal or security risk, fail to pay applicable fees, or if continued access is not commercially or operationally feasible.
Sections that by their nature should survive termination, including provisions related to intellectual property, limitations of liability, indemnity, and dispute-related terms, will survive.
11. Disclaimers
Cinetal is provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
Cinetal provides software tools, strategic workflows, and information support. It does not provide legal, tax, accounting, investment, or other regulated professional advice.
12. Limitation of Liability
To the fullest extent permitted by law, Cinetal and its affiliates, officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to your use of the service.
To the fullest extent permitted by law, our total liability for claims arising out of or relating to the service will not exceed the greater of the amount you paid to Cinetal in the twelve months preceding the event giving rise to the claim or one hundred U.S. dollars.
13. Indemnification
You agree to defend, indemnify, and hold harmless Cinetal and its affiliates, officers, employees, and agents from and against claims, liabilities, damages, losses, and expenses arising out of your content, your misuse of the service, or your violation of these Terms or applicable law.
14. Governing Terms and Updates
These Terms will be governed by and interpreted under applicable law, excluding conflict-of-law principles, unless a separate written agreement with Cinetal provides otherwise.
We may update these Terms from time to time. When we do, we will update the date on this page. Your continued use of Cinetal after updated Terms take effect constitutes acceptance of the revised Terms.
